Terms and conditions signed on this page is a part of an
agreement between ASDA SOLAR SYSTEMS PVT LTD referred to as "We",
"Us", "Our" or "Ours" and the customer named on
this Quote/contract as "you" or “your".
1. Customer Declarations
You, as the customer, hereby
declare that:
1.1 You are of legal age, 18
years or older
1.2 You are one of the
registered owners of the property at the installation address, and your name
appears on the title deed of the Installation Address.
1.3 You have not received
any rebate, financial assistance, solar credit, or small-scale technology
certificate for a small-generation solar power system at the Installation
Address, nor have you been approved for such benefits in the past.
2. Payment
2.1 60% (2%+58%) payment as
order confirmation.
2.2 30% payment soon after
installation.
2.3 10% payment soon after
CEB/LECO connection. (If the connection is delayed due to no availability of
components in CEB/LEO or due to any delay from the client’s side, this amount is to be paid without delay.
2.4 Payment Terms for
Quotation Acceptance (ASDA SOLAR SYSTEMS PVT LTD): Please remit the deposit fee
of 20,000 LKR (2%) as specified in the quotation. Payment can be made via cash,
bank transfer, or mutually agreed-upon method.
3.
Authority access to property
3.1 You authorize us and our
contractors, employees, and installers, full access to the property at all
reasonable times to carry out all work associated with the installation of your
solar system including site Inspections, the signing of required paperwork,
the delivery and installation of the PV solar system, and connection to the
grid.
3.2 Your cooperation is
required to enable site inspections/installation to occur at the earliest
possible time which is convenient to ASDA Solar and its contractors
4. Liabilities and Risk
4.1 Installation: The
customer acknowledges that ASDA SOLAR SYSTEMS PVT LTD (referred to as
"We", "Us", "Our" or "Ours") is
responsible for the proper installation of the solar mounting system. We will
ensure that the installation is carried out according to industry standards and
in compliance with relevant regulations.
4.2 Structural Integrity: We
will take reasonable measures to ensure the structural integrity of the solar
mounting system. However, the customer understands and accepts that factors
such as extreme weather conditions, unforeseen events, or improper use can
potentially affect the structural stability of the system. Any damage resulting
from these factors will not be the responsibility of ASDA SOLAR SYSTEMS PVT LTD.
4.3 Maintenance and Repairs:
The customer is responsible for the regular maintenance of the solar mounting
system (Except 1st Year), including cleaning, inspections, and
necessary repairs. Failure to properly maintain the system may result in
reduced efficiency or damage. ASDA SOLAR SYSTEMS PVT LTD shall not be liable for
any losses or damages arising from the customer's failure to maintain the
system adequately.
4.5 Performance: ASDA
SOLAR SYSTEMS PVT LTD will make every effort to ensure that the solar mounting
system performs optimally. However, the customer acknowledges that the actual
performance of the system can be influenced by various factors such as weather
conditions, shading, and equipment efficiency. We do not guarantee specific
energy production or performance levels.
4.6 Third-Party Products or
Services: If the customer chooses to use third-party products or services in
conjunction with the solar mounting system, ASDA SOLAR SYSTEMS PVT LTD will not
be liable for any issues, damages, or losses arising from the use or
performance of those products or services.
4.7 Indemnification: The
customer agrees to indemnify and hold ASDA SOLAR SYSTEMS PVT LTD harmless from
any claims, damages, liabilities, losses, or expenses (including legal fees)
arising out of or in connection with the installation, use, or maintenance of
the solar mounting system.
4.8 Insurance: It is the
responsibility of the customer to maintain appropriate insurance coverage for
the solar mounting system. ASDA SOLAR SYSTEMS PVT LTD shall not be liable for any
losses or damages that are covered by insurance.
5.
Delivery and Installation
5.1 We will make every
reasonable effort to install your system in a timely manner. However, we will
not be bound to meet estimated or proposed delivery, installation, or system
completion dates as we have no control over for example, worldwide materials
availability, peaks in demand created by changes in government legislation,
inclement weather, and/or other forms of force majeure. Delayed installation or
grid connection is not a valid reason for claiming a refund or compensation
from us. Please note that no responsibility for the delay in installation is
acceptable if customer details (including the installation site) are incorrect.
5.2 Delays in installation
are not grounds for cancellation and ASDA Solar is not liable to you for any
perceived loss as a result of these delays.
5.3 If difficulties with
site access are encountered that were not notified to us at the time of quote
from us to you, additional costs incurred in ensuring the safety of our
installers must be payable by the customer
5.4 If you have any
preference regarding panel/Inverter placement, you are required to inform the
installer when they arrive on the property
5.5 If you are not present
at the property during the time of installation, you are required to authorize
an adult to be present at the property to sign all documents and assume complete
responsibility.
5.6 Upon signing the
agreement, any requests for modifications to the material/equipment will incur
an admin charge from ASDA Solar. A new quote will be generated for any changes
required.
6. Privacy Policy
6.1 ASDA
SOLAR SYSTEMS PVT LTD relies on your cooperation in providing the necessary
personal information for the smooth operation of ASDA Solar on your behalf.
This information is crucial, especially for the accurate completion of
paperwork related to PV connection to the grid and ensuring efficient
functioning.
You
acknowledge and agree to furnish us with the required personal information to
facilitate these processes. It is important to understand that without this
information, ASDA SOLAR SYSTEMS PVT LTD may encounter challenges in fulfilling
its obligations effectively. Rest assured that we handle your personal
information in compliance with relevant privacy laws and regulations,
maintaining confidentiality and prioritizing your privacy.
6.2
ASDA Solar will provide your information to its contractors, employees, and
installers only as required to effectively perform their duties.
6.3 On
your behalf, we will securely share your information with the relevant entities
involved in processing incentives and facilitating the connection of your PV
Solar system to the grid. This includes providing your information to the
electricity distributor responsible for the grid connection. If necessary, we
may also share your information with your electricity retailer. Please be assured
that we will handle this process with utmost care and in accordance with
applicable privacy laws.
6.4
Unless otherwise agreed with you, ASDA Solar will not provide your personal
information to any third parties other than those mentioned above. You must
sign all necessary documents on the date of installation for the performance of
all party's obligations under this agreement.
6.5 We
will not sell your personal information under any circumstances.
7. Product Warranties
The
system comes with up to 10 years of installation warranty for the inverter and 12
12-years warranty for solar panels from us in conjunction with the manufacturer's
warranty. A warranty booklet will be presented to you at installation which
outlines that the solar system requires servicing every two years by a licensed
solar installer.
8. Termination
We
may terminate this contract with you if either of the following occurs:
8.1 You
do not abide by the terms and conditions.
8.1.1
There are delays in the ASDA Solar process causing supplier prices to increase;
in which case full deposit will be refunded.
8.2.2
ASDA Solar has full authority to cancel the installation if installation can't
be possible. The customer will receive a full refund of any deposit paid.
8.3.3
You may terminate this agreement or contract within the first 5 business
working days of the proposal date. You may be eligible to get a refund of the deposit
after
deducting
administration charges. We normally procure the material or equipment required
within two weeks of receiving the signed copy of the contract. You would have
to pay the material costs and LKR 50000 administration charges if the job is
canceled after 5 business working days of receiving the signed copy of the contract
9. Exclusion of Physical Damage Repair
9.1
This agreement does not cover repair services for physical damage to the solar
panels, inverters, and protection Devices due to accidents, extreme weather
conditions, or any other non-manufacturer-related causes.
9.2
In the event of physical damage to the solar panels or inverters, we will
provide you with a detailed assessment of the extent of the damage. However,
the repair of such physical damage will not be included in the scope of work
covered by this agreement.
9.3
Upon discovering physical damage during the inspection, we will provide you
with a detailed assessment of the extent of the damage and the necessary
repairs.
9.4
The cost of physical damage repair will be provided in a separate quote, and
the repair work will commence only after receiving your approval.
9.5
The repair process for physical damage may require additional time, depending
on the severity of the damage and the availability of specific replacement
parts.
9.6
If the physical damage is covered by an insurance policy, we will assist you in
providing the necessary documentation and information for the insurance claim
process.
9.7
We will utilize our expertise and experience to perform physical damage repair
with the utmost care and professionalism to restore your solar panels and
inverters to their optimal condition.
9.8 After
we receive written notification of the damage, we will use reasonable efforts
to repair the damaged inverter within a reasonable time period, not to exceed
thirty (30) calendar days ("Repair Period"). We will reimburse the
customer for any inconvenience and downtime if we are unable to fix the damaged
inverter within the allotted repair period. For every day that the inverter is
unable to function after the Repair Period, the compensation will be determined
at a cost of 37 per kWh. 9.1 is not included in this, and production will be
determined by examining the 30 days leading up to the inverter issue.
10. System maintenance and repair
Scope
of Work:
10.1
Solar Panel Repair: We will inspect, diagnose, and repair any issues with the
solar panels to ensure optimal performance. (Warranty included)
10.2
Inverter Repair: Our technicians will troubleshoot and repair the inverter to
rectify any operational problems. (Warranty included)
10.3
Preventive Maintenance: We will conduct periodic maintenance checks to identify
and address potential issues before they escalate. (First
year free of charge service available)
Service
Charges:
10.4 Inspection Fee: We not charge a nominal fee for conducting a comprehensive
inspection of the solar system to determine the repair requirements.
10.5 Repair Charges: The cost of repair will be provided in a detailed quote after
the inspection. This quote will include the cost of replacement parts and
labor. (First year free of charge service available and after end of the
warranty period of each item)
10.6 Preventive Maintenance: The charges for periodic preventive maintenance visits
will be outlined in the quote provided. (First 3 years free of charge
service available)
Replacement
Parts:
10.7 We
will use only high-quality and manufacturer-approved replacement parts for any
repairs. All parts installed during the repair process will be covered by their
respective warranties.
10.8 If the solar panels or inverters are under warranty, we will facilitate the
warranty claim process on your behalf.
Timeline:
10.9 We will strive to complete the repair and maintenance services promptly and
efficiently. However, the timeline for repairs may vary depending on the
complexity of the issue and the availability of replacement parts.
10.10 We will communicate any significant delays to you and provide regular updates
on the progress of the repair work.
Liability:
10.11 While we take utmost care during the repair and maintenance process, we will
not be liable for any pre-existing damage or unforeseen issues that may arise
during the repair.
10.12 We shall not be held responsible for any loss of solar energy production during the repair period.
